General terms and conditions for contracting software services
1. Scope of Application
1.1 These terms of use regulate the access, use, and provision of Fresh People's software services through its platform.
1.2 The use of or access to the platform or any part thereof implies the user's full acceptance of all terms of use in force at the time the user accesses it. Therefore, if the user does not agree with any of the conditions established herein, they must refrain from using this platform and the services provided through it.
1.3 In case of discrepancy between these terms and the specific contracting terms, the specific contracting terms shall prevail.
1.4 Definitions
- “Terms”: Refers to the present general terms and conditions of use and contracting.
- “Fresh People” or “we”: The company Fresh Discovery, S.L., with registered office at Carrer del Moll de la Duana s/n, Edificio Lanzadera, 46024 Valencia, Spain, and with N.I.F. B42832774, registered in the Mercantile Register of Valencia, Volume 10,935, Book 8213, Folio 109, Section 8, Page V196513.
- “Software Services” or “the platform”: The SaaS platforms and related services provided by Fresh People.
- “Client”: The company or entity that acquires the software services.
- “User”: Any person who accesses and uses our services.
2. Description of Software Services
2.1 Fresh People provides various software services designed to help improve collaboration, communication, and talent development for the client. These software services include, but are not limited to:
- A web application accessible via the Internet.
- A virtual assistant based on artificial intelligence technologies. It is integrated into the web application but can also be installed in the client's corporate instant messaging tools. Currently, it is compatible with Slack, Microsoft Teams, and Google Chat.
2.2 In addition to the main services mentioned in 2.1, Fresh People offers additional software services, such as user synchronization modules from the client's human resources management platform.
2.3 Fresh People commits to evaluating the possibility of integrating its software services with other platforms based on client requirements. This may require additional configurations or developments by the client.
3. Registration and User Account
3.1 To access the services, the client must have a current contractual relationship with Fresh People, and the user must be registered. Registration can be done manually on the web platform by a client administrator or automatically through a user synchronization module.
3.2 By default, a user can access the web application using their company's Single Sign-On (SSO) system (Microsoft or Google) or via a magic link sent to their email. The client may request Fresh People to disable any of these options.
3.3 Access to the virtual assistant is provided via the web application or the client's corporate instant messaging tool.
3.4 For the SSO and virtual assistant to function within an instant messaging tool, the client may need to perform configurations on their systems. Fresh People will provide the necessary documentation and technical support.
4. Rules of Use
4.1 The client agrees to provide users with an adequate environment, including a good internet connection, necessary hardware and software for navigation, and network configurations that allow for correct interaction with the platform.
4.2 The client is solely and exclusively responsible for the identification and access keys to the platform's content or services. The client and its users will be responsible for safeguarding the passwords/credentials provided by Fresh People to access the platform and ensuring that no unauthorized third party has access to them.
4.3 Both the client and users agree to:
a. Do not modify, copy, reproduce, or create derivative works from the services provided.
b. Do not attempt to reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the platform.
c. Do not sell, license, distribute, or assign any part or all of the software without prior written consent from Fresh People.
d. Do not use the platform for illegal content, content that infringes on third-party rights, or content that violates laws or ethical standards.
e. Do not store personal data considered "sensitive" as defined by GDPR on the platform. This includes data related to racial or ethnic origin, political opinions, religious or philosophical beliefs, trade union membership, genetic data, biometric data intended to uniquely identify a natural person, health data, or data concerning a person's sex life or sexual orientation.
f. Not to remove, alter, or conceal any intellectual property notice or any label or mark of the software.
g. Not to use any automated method to access or use the software services, except for methods authorized by Fresh People.
h. Not to disable or interfere with the software's security features.
i. Not to attempt to hack the system or distribute viruses or other malicious software.
j. Not to perform load tests, intrusion tests, or similar measures without prior written consent from Fresh People.
k. Not to generate excessive data traffic that exceeds the normal use of the services.
m. Maintain the confidentiality of your access credentials and not share them with unauthorized third parties.
n. Immediately notify Fresh People of any unauthorized access or system vulnerability.
ñ. Not to permit or authorize third parties to breach any of these conditions or the particular contracting conditions.
4.4 Should any third-party claims arise related to the violation of any of these prohibitions, the client will be held responsible and must indemnify Fresh People for any damage, loss, or expense incurred.
5. Payment and Invoicing
5.1 Payment and invoicing conditions for software services will be carried out as stipulated in the client's particular contracting conditions.
5.2 The client acknowledges that any expansion in the use of the software, such as an increase in the number of managers, users, or the contracting of additional modules or services to the software, will entitle Fresh People to invoice and demand the appropriate fee. These specific conditions will also be included in the particular contracting conditions.
6. Incident Management and Service Maintenance
6.1 The most direct and recommended method for reporting incidents in our services is through the form published at any of the following links, depending on the application's language of use:

6.2 For critical incidents, defined as the loss or improper exposure of data considered private in nature regardless of the number of users affected, or a total service interruption affecting a significant number of users for a substantial amount of time, we commit to acting immediately. From the moment we become aware of the incident, we will assign a team exclusively dedicated to containing the incident, minimizing its impact and preventing its spread, resolving it, and restoring normal service. We will also transparently and promptly inform the client about the nature of the incident, the actions taken, and any additional preventive measures.
6.3 For serious incidents, such as total or partial service interruptions that prevent a small number of users from using an essential functionality, we also commit to acting immediately. Once normal service is restored for affected users, we will inform them of the resolution. Upon client request via email support@freshpeople.team, more detailed resolution reports may be shared.
6.4 For less critical incidents, we will do our best to resolve them as quickly as possible, addressing each case as priorities and resource availability allow. Upon client request via email support@freshpeople.team, more detailed resolution reports may also be shared.
6.5 In any case, we analyze resolved incidents to identify opportunities for improvement in our processes and systems and implement preventive measures based on lessons learned.
6.6 Fresh People reserves the right to interrupt access to the platform at any time, without prior notice, when strictly necessary, whether for technical, security, control, maintenance, service improvement, power supply failures, or other unforeseen causes. However, when circumstances permit, Fresh People commits to notifying users sufficiently in advance, via email, in-web application notification, or through the virtual assistant, and to carry out such interruptions during off-peak hours, in order to minimize inconvenience and ensure a continuous experience.
6.7 Fresh People is not responsible for service failure if it is caused by force majeure circumstances. These circumstances include, but are not limited to, natural disasters, armed conflicts, acts of terrorism, civil unrest, telecommunications or internet infrastructure failures, government actions, pandemics, or other situations beyond our reasonable control. In such cases, we will do our best to restore service as soon as possible, but we cannot guarantee availability or assume responsibility for any inconvenience caused.
6.8 Our service is constantly evolving to improve user experience and add value, which is why we will occasionally release new features and improvements. For changes that may substantially affect the overall functionality or user experience, we commit to informing users. These notifications will be made via email, in-web application notification, or through the virtual assistant, ensuring that our users are always aware of the most important updates and can make the most of them.
7. Intellectual Property
7.1 All intellectual and industrial property rights related to the software services, including, but not limited to, texts, images, graphics, source code, drawings, designs, navigation structure, databases, trademarks, trade names, logos, distinctive elements, domain names and social profiles, trade secrets, know-how, copyrights, related rights, database rights, patents, utility and industrial models, and any other content, whether registered or unregistered, are the exclusive property of Fresh People or its licensors. These terms of use do not grant any intellectual or industrial property rights over the content of the software services. Reproduction, transformation, distribution, public communication, making available, reuse, retransmission, or any other use of such content, by any means or procedure, is prohibited unless permitted by law or expressly authorized in writing by Fresh People or the respective rights holder.
7.2 Fresh People grants the client and users a limited, non-exclusive, non-transferable, and revocable license to use the software services in accordance with these terms and the specific contractual conditions. This license does not grant any right to sublicense, sell, distribute, reproduce, or create derivative works from the software. Furthermore, users must not modify or reproduce, in whole or in part, the information contained in the software services. Specifically:
- Users are not authorized to use the information from the software services for commercial or professional purposes other than to benefit from the services provided by Fresh People.
- Users are not authorized to remove, bypass, or tamper with copyrights or other protection mechanisms implemented by Fresh People.
- Users are not authorized to disassemble, decompile, or reverse engineer the databases where the platform's information is stored.
7.3 The client retains all rights to the data they input or store in the software services. Fresh People claims no ownership rights over such data. However, the client grants Fresh People a limited license to use such data to the extent necessary to provide the software services and fulfill its obligations under these terms.
7.4 In the event that the client or users infringe Fresh People's intellectual property rights, Fresh People reserves the right to take appropriate legal action, including, but not limited to, the suspension or termination of access to the software services and the claim for damages.
7.5 Subject to the terms of this agreement, the client grants Fresh People a limited, non-exclusive, non-transferable, sublicensable, irrevocable, worldwide license to use the client's trademarks for the purpose of appearing as a Fresh People client at events, conferences, trade shows, on Fresh People's website, and in informational and advertising materials, provided it does not harm the client's reputation. Except as stated above, neither party may use the other party's name or logo without prior written consent.
8. Privacy and Data Protection
8.1 Client and Fresh People Data: In compliance with the provisions of the General Data Protection Regulation (EU) of April 27 (GDPR) and Organic Law 3/2018 of December 5 on Personal Data Protection and Guarantee of Digital Rights (LOPGDD), the client and Fresh People agree that the personal data of the contracting parties and their employees will be processed to manage and execute the contractual relationship. Likewise, the data will be retained as long as said relationship remains in force and, once terminated, will only be retained to comply with relevant legal, tax, and administrative obligations. The legal basis for this processing is the execution of this agreement and to make the contractual relationship effective. The data will not be communicated or transferred to third parties, with the exception of those essential for the execution of the agreement itself (necessary service providers) and for compliance with legal obligations (public administrations, auditors, financial entities, insurance companies when applicable, among others). In the case of necessary service providers, they may be based outside the EU, and an international data transfer may occur. In such a case, the parties undertake to ensure that their international providers have adequate guarantees according to applicable regulations. The parties may request to exercise their rights of access, rectification, erasure, opposition, restriction, and data portability through the address provided when signing these terms or at the electronic address provided for contracting, clearly indicating the right they wish to exercise. Likewise, the parties are mutually informed that they have the right to file a complaint with the Spanish Data Protection Agency (www.aepd.es). Nevertheless, the parties shall use their best efforts and attempt to resolve any issue related to personal data amicably.
8.2 Data included by the client and users on the Fresh People platform: Data processing will be carried out by Fresh People with utmost diligence and confidentiality, applying security measures that guarantee said confidentiality, integrity, and availability.
9. Confidentiality
9.1 "Confidential information" refers to all commercial, technical, operational, financial, or other information that one party ("disclosing party") reveals to the other party ("receiving party") in connection with the software services and that is designated as confidential, whether orally or in writing.
9.2 Both parties shall take sufficient measures to ensure that the other party's confidential information is not accessed by unauthorized persons. Confidential Information shall only be used to fulfill its obligations and exercise its rights under these terms. It shall not be disclosed to third parties without the prior written consent of the disclosing party, except to employees, agents, or subcontractors who need to know it for permitted purposes and are bound to protect it under terms similar to these.
9.3 The confidentiality obligations shall not apply to information that:
a. Is publicly known at the time of disclosure or becomes public without violating these terms.
b. Is in the receiving party's possession prior to its disclosure, provided it can be demonstrated with adequate written documentation.
c. Is independently developed by the receiving party without using the disclosing party's confidential information.
d. Is disclosed to the receiving party by a third party without confidentiality restrictions.
9.4 If the receiving party is required to disclose Confidential Information by law, regulation, or court order, it shall immediately notify the disclosing party, provided that the law permits such notification. This notification shall be made with sufficient advance notice to allow the disclosing party to protect confidentiality. The receiving party shall only disclose the minimum information necessary to comply with the legal obligation.
10. Liability and Warranties
10.1 Fresh People will be responsible for damages suffered by the client due to non-compliance or defective compliance with these terms. However, this liability will not apply if the damages are caused by intentional actions, gross errors, or lack of care on the part of the client, or if events beyond Fresh People's control occur, such as:
a. ransomware or malware attacks on the client's systems;
b. fallos de seguridad, violaciones o brechas de seguridad de los datos y sistemas sufridos por parte del cliente;
c. mal uso de los dispositivos y sistemas, especialmente si no se realizan de acuerdo con los manuales, guías y otros documentos entregados;
d. fallos en los servicios proporcionados por terceros proveedores de tecnología sobre los cuales Fresh People depende para la prestación de sus servicios.
e. inexactitud de los resultados generados por la inteligencia artificial incorporada al uso de nuestro software, que no refleje con exactitud personas, lugares o hechos;
f. lo contemplado en los apartados (a) y (b) sufridos por Fresh People.
10.2 Fresh People hace todo lo posible para asegurar la calidad y disponibilidad del servicio. Sin embargo, los servicios software se proporcionan «tal cual» y «según disponibilidad». Fresh People no garantiza que los servicios software estarán disponibles en todo momento, ininterrumpidamente y sin errores. No obstante, Fresh People tomará todas las medidas oportunas para restaurar la normalidad e idoneidad del servicio lo antes posible según los procesos mencionados en la sección “Manejo de incidencias y mantenimiento del servicio” de estas condiciones.
10.3 Fresh People no será responsable por incumplimientos del servicio ni por daños o perjuicios derivados de interferencias, omisiones, interrupciones, virus informáticos, fallos técnicos o desconexiones en el funcionamiento del sistema electrónico o en los dispositivos del usuario, cuando dichas situaciones sean ajenas a Fresh People. Esto incluye también los retrasos o bloqueos causados por deficiencias o sobrecargas en la red de Internet u otros sistemas electrónicos. Asimismo, Fresh People no será responsable si el servicio no puede prestarse o el acceso no es posible debido a causas fuera de su control, como acciones de los usuarios, de terceros, o eventos de fuerza mayor. Entre estas causas de fuerza mayor se encuentran, sin limitarse a ellas, desastres naturales, conflictos armados, actos de terrorismo, disturbios civiles, fallos en las telecomunicaciones o la infraestructura de Internet, acciones gubernamentales, pandemias, u otras circunstancias fuera de nuestro control razonable. No obstante, Fresh People asegura que ha adoptado y seguirá adoptando todas las medidas necesarias, dentro de sus capacidades y según las condiciones tecnológicas disponibles, para garantizar el correcto funcionamiento de la plataforma y prevenir la presencia y transmisión de virus u otros elementos dañinos para los usuarios.
10.4 Fresh People no se hará responsable de ninguna pérdida directa, indirecta, incidental, emergente o económica, o cualquier otra pérdida, sea cual sea su causa, que surja de o en relación al uso de los servicios software. Esto incluye, pero no se limita a, cualquier pérdida o daño punitivo, especial, indirecto o consecuente, cualquier pérdida de producción, pérdida de beneficios, pérdida de ingresos, pérdida de contrato, pérdida o daño de la buena voluntad o reputación, pérdida de fondo de comercio o cualquier pérdida de oportunidad o pérdida de reclamaciones.
10.5 Fresh People utiliza tecnologías de inteligencia artificial en algunos de sus servicios. Aunque se toman todas las medidas razonables para asegurar la precisión y fiabilidad de estos componentes, Fresh People no garantiza que los resultados generados por la inteligencia artificial sean precisos, completos o libres de errores. El cliente y los usuarios reconocen y aceptan que cualquier uso de los componentes de inteligencia artificial se realiza bajo su propio riesgo. Fresh People no será responsable de ninguna decisión o acción tomada basada en los resultados proporcionados por la IA generativa.
10.6 Nos reservamos el derecho de suspender el acceso al servicio en caso de impago, incumplimiento de estas condiciones, o si la seguridad o integridad de nuestros servicios se ve comprometida o amenazada por acciones del cliente, ya sea de forma directa o indirecta. No obstante, notificaremos con antelación dentro de lo posible la causa de la suspensión, y daremos un período de gracia para resolver la causa antes de hacer efectiva la suspensión. En cualquier caso, el acceso al servicio será restaurado una vez que la causa de la suspensión haya sido resuelta satisfactoriamente.
10.7 Fresh People no asegura ni asume ninguna responsabilidad derivada de los daños y perjuicios sufridos por el acceso a los sitios web de terceros enlazados. Fresh People no será responsable del resultado obtenido a través de dichos sitios web enlazados ni de las consecuencias derivadas del acceso a los mismos. Los sitios enlazados son proporcionados por terceros, por lo que Fresh People no controla la licitud de sus contenidos ni la calidad de los servicios ofrecidos en los mismos.
10.8 Fresh People no controla, con carácter general, la utilización que los usuarios hacen de los servicios software. En particular, Fresh People no asegura en ningún caso que los usuarios utilicen los servicios software de conformidad con la Ley, las presentes condiciones de uso, los principios morales, los usos y costumbres recibidos y el orden público, ni que lo hagan de forma diligente y prudente. En consecuencia, Fresh People no se hace responsable de los contenidos, archivos, informaciones, publicidad, opiniones, conceptos e imágenes que no dependan de los servicios software o que sean generados, suministrados o gestionados por los Usuarios. Fresh People no asumirá ninguna responsabilidad, ya sea directa o indirecta, derivada del mal uso de la plataforma o sus contenidos por parte del Usuario asumiendo éste, en todo caso, bajo su exclusiva responsabilidad, las consecuencias, daños o acciones que pudieran derivarse de su acceso o uso o de los contenidos alojados, así como de su reproducción o comunicación.
11. Vigencia y terminación
11.1 La licencia para el uso de los servicios software de Fresh People entra en vigor en la fecha en que el cliente firma las condiciones particulares de contratación, o en la fecha acordada en dichas condiciones, lo que ocurra primero.
11.2 A menos que se indique lo contrario en las condiciones particulares de contratación, la licencia se renovará automáticamente por períodos sucesivos de un año al cumplirse el período de permanencia inicial indicado en las condiciones particulares. Para evitar la renovación automática, el cliente debe notificar a Fresh People su intención de no renovar con al menos 30 días naturales de anticipación al vencimiento del contrato. No se reembolsará los pagos ya realizados, y el cliente deberá pagar cualquier saldo pendiente hasta la fecha de terminación.
11.3 Fresh People se reserva el derecho de terminar el contrato y la licencia de uso de los servicios software si el cliente incumple alguna de las disposiciones de estas condiciones o de las condiciones particulares de contratación. Antes de proceder con la terminación, Fresh People proporcionará un período razonable para que el cliente subsane el incumplimiento, si es posible.
12. Modificación de los términos y condiciones
12.1 Fresh People se reserva el derecho de modificar los presentes términos y condiciones en cualquier momento y sin previo aviso. No obstante, se informará a los usuarios sobre dichos cambios a través de correo electrónico o mediante una notificación en la aplicación web.
12.2 Una vez que los cambios entren en vigor, la aceptación de las nuevas condiciones de uso será un requisito esencial para acceder a los servicios y contenidos de la plataforma. Este proceso garantiza que los usuarios estén siempre informados y de acuerdo con los términos bajo los cuales utilizan nuestros servicios. Las condiciones de uso vigentes estarán disponibles en todo momento en la plataforma.
13. Ley aplicable y jurisdicción
13.1 Estos términos y condiciones se rigen e interpretan de acuerdo con la legislación española. Cualquier disputa que surja, o cualquier reclamación relacionada con los contenidos y servicios de los servicios de software será resuelta por los tribunales de Valencia (España) renunciando el cliente expresamente a su fuero propio o cualquier otro que le pueda corresponder.

Términos y condiciones generales de uso de los servicios software
1. Ámbito de aplicación
1.1 Las presentes condiciones de uso regulan acceso, utilización y prestación de servicios software de Fresh People a través de su plataforma.
1.2 La utilización o el acceso a la plataforma o a cualquier parte de esta supone la aceptación plena por el usuario de todas las condiciones de uso vigentes en cada momento en que el usuario acceda a la misma. Por lo que si éste no está de acuerdo con cualquiera de las condiciones aquí establecidas deberá abstenerse de usar esta plataforma y los servicios prestados a través de esta.
1.3 En caso de discrepancia entre estas condiciones y las condiciones particulares de contratación, prevalecerán los términos de las condiciones particulares de contratación.
1.4 Definiciones
- “Condiciones”: Se refiere a los términos y condiciones generales de uso y contratación presentes.
- “Fresh People” o “nosotros”: La empresa Fresh Discovery, S.L., con domicilio social en Carrer del Moll de la Duana s/n, Edificio Lanzadera, 46024 Valencia, España, y con N.I.F. B42832774, inscrita en el Registro Mercantil de Valencia al Tomo 10.935, Libro 8213, Folio 109, Sección 8, Hoja V196513.
- “Servicios software” o “la plataforma”: Las plataformas SaaS y servicios relacionados proporcionados por Fresh People.
- “Cliente”: La empresa o entidad que adquiere los servicios software.
- “Usuario”: Cualquier persona que accede y utiliza nuestros servicios.
2. Descripción de los servicios software
2.1 Fresh People proporciona diversos servicios software diseñados para ayudar a mejorar la colaboración, comunicación y el desarrollo del talento en el cliente. Estos servicios software incluyen, pero no se limitan a:
- Una aplicación web accesible a través de Internet.
- Un asistente virtual basado en tecnologías de inteligencia artificial. Está integrado en la aplicación web, pero también puede ser instalado en las herramientas de mensajería instantánea corporativa del cliente. Actualmente, es compatible con Slack, Microsoft Teams y Google Chat.
2.2 Además de los servicios principales mencionadas en 2.1, Fresh People ofrece servicios software adicionales, como módulos de sincronización de usuarios desde la plataforma de gestión de recursos humanos del cliente.
2.3 Fresh People se compromete a evaluar la posibilidad de integrar sus servicios software con otras plataformas según los requisitos del cliente. Esto puede requerir configuraciones o desarrollos adicionales por parte del cliente.
3. Registro y cuenta de usuario
3.1 Para acceder a los servicios, el cliente debe tener una relación contractual vigente con Fresh People y el usuario debe estar registrado. El registro puede ser realizado manualmente en la plataforma web por un administrador del cliente o automático a través de un módulo de sincronización de usuarios.
3.2 Por defecto, un usuario puede acceder a la aplicación web usando el sistema de inicio de sesión único (SSO) de su empresa (Microsoft o Google) o mediante un enlace mágico enviado a su correo electrónico. El cliente puede solicitar a Fresh People la deshabilitación de cualquiera de estas opciones.
3.3 El acceso al asistente virtual se realiza a través de la aplicación web o de la herramienta de mensajería instantánea corporativa del cliente.
3.4 Para el funcionamiento del SSO y del asistente virtual en una herramienta de mensajería instantánea, el cliente podría necesitar realizar configuraciones en sus sistemas. Fresh People proporcionará la documentación y el soporte técnico necesarios.
4. Normas de uso
4.1 El cliente se compromete a proporcionar a los usuarios un entorno adecuado con buena conexión a Internet, hardware y software necesarios para navegación, y configuraciones de red que permitan una interacción correcta con la plataforma.
4.2 El cliente es el único y exclusivo responsable de las claves de identificación y acceso a los contenidos o servicios de la plataforma. El cliente y sus usuarios serán responsables de salvaguardar las contraseñas/credenciales facilitados por Fresh People para acceder a la plataforma y garantizar que ningún tercero no autorizado tenga acceso a las mismas.
4.3 Tanto el cliente como los usuarios se comprometen a:
a. No modificar, copiar, reproducir, o crear trabajos derivados de los servicios prestados.
b. No intentar realizar ingeniería inversa, descompilar, desensamblar ni intentar obtener el código fuente de la plataforma.
c. No vender, licenciar, distribuir o ceder una parte del software o en su totalidad sin consentimiento previo por escrito de Fresh People.
d. No utilizar la plataforma con contenidos ilegales o que infrinjan derechos de terceros o incumplan las leyes o normas éticas.
e. No almacenar en la plataforma datos personales considerados «sensibles» según la definición del RGPD. Esto incluye datos relacionados con el origen racial o étnico, opiniones políticas, creencias religiosas o filosóficas, afiliación sindical, datos genéticos, datos biométricos destinados a identificar de manera unívoca a una persona física, datos relativos a la salud, o datos relativos a la vida sexual o la orientación sexual de una persona.
f. No eliminar, alterar u ocultar cualquier aviso de propiedad intelectual o cualquier etiqueta o marca del software.
g. No utilizar cualquier método automatizado para acceder o utilizar los servicios software, excepto los métodos autorizados por Fresh People.
h. No desactivar ni interferir con las funciones de seguridad del software.
i. No intentar hackear el sistema ni distribuir virus u otros programas maliciosos.
j. No realizar pruebas de carga, de intrusión o medidas similares sin consentimiento previo por escrito de Fresh People.
k. No generar tráfico de datos excesivo que exceda el uso normal de los servicios.
m. Mantener la confidencialidad de sus credenciales de acceso y no compartirlas con terceros no autorizados.
n. Notificar inmediatamente a Fresh People de cualquier acceso no autorizado o vulnerabilidad en el sistema.
ñ. No permitir o autorizar a terceros a incumplir cualquiera de estas condiciones o las condiciones particulares de contratación.
4.4 En caso de que se produzcan reclamaciones de terceros relacionadas con la violación de cualquiera de estas prohibiciones, el cliente se responsabilizará y deberá indemnizar a Fresh People por cualquier daño, pérdida o gasto incurrido.
5. Manejo de incidencias y mantenimiento del servicio
5.1 El método más directo y recomendado para reportar incidencias en nuestros servicios es a través del formulario publicado en cualquiera de los siguientes enlaces, según el idioma de uso de la aplicación:

5.2 Para incidencias críticas, definidas como la pérdida o exposición indebida de datos considerados de naturaleza privada independientemente del número de usuarios afectados, o una interrupción total del servicio que afecte a una cantidad importante de usuarios durante una cantidad sustancial de tiempo, nos comprometemos a actuar inmediatamente. Desde el momento en que conocemos la incidencia, asignaremos un equipo dedicado exclusivamente a contener la incidencia, minimizar su impacto y evitar su propagación, solucionarla y restaurar la normalidad del servicio. Asimismo, informaremos de manera transparente y oportuna al cliente sobre la naturaleza de la incidencia, las acciones emprendidas y las medidas preventivas adicionales.
5.3 Para incidencias graves, como interrupciones totales o parciales del servicio que impidan el uso de alguna funcionalidad esencial para una cantidad pequeña de usuarios, también nos comprometemos a actuar de manera inmediata. Una vez restaurada la normalidad del servicio para los usuarios afectados, les informaremos de la resolución. Bajo solicitud del cliente a través del email support@freshpeople.team, se podrán compartir informes de resolución más detallados.
5.4 Para incidencias con menor relevancia, haremos todo lo posible para resolverlas en el menor tiempo posible, atendiendo cada caso conforme las prioridades y disponibilidad de recursos lo permitan. Bajo solicitud del cliente a través del email support@freshpeople.team, también se podrán compartir informes de resolución más detallados.
5.5 En cualquier caso, analizamos las incidencias resueltas para identificar oportunidades de mejora en nuestros procesos y sistemas e implementamos medidas preventivas basadas en las lecciones aprendidas.
5.6 Fresh People se reserva el derecho de interrumpir el acceso a la plataforma en cualquier momento, sin previo aviso, cuando sea estrictamente necesario, ya sea por motivos técnicos, de seguridad, de control, de mantenimiento, mejoras en el servicio, fallos en el suministro eléctrico u otras causas imprevistas. Sin embargo, cuando las circunstancias lo permitan, Fresh People se compromete a notificar a los usuarios con suficiente antelación, a través de correo electrónico, notificación en la aplicación web o a través del asistente virtual, y a realizar dichas interrupciones en horarios de menor actividad, con el fin de minimizar las molestias y asegurar una experiencia continua.
5.7 Fresh People no se responsabiliza por el incumplimiento del servicio en caso de que éste sea causado por circunstancias de fuerza mayor. Estas circunstancias incluyen, pero no se limitan a, desastres naturales, conflictos armados, actos de terrorismo, disturbios civiles, fallos en las telecomunicaciones o en la infraestructura de Internet, acciones gubernamentales, pandemias u otras situaciones fuera de nuestro control razonable. En tales casos, haremos todo lo posible por restablecer el servicio lo antes posible, pero no podemos garantizar la disponibilidad ni asumir responsabilidad por cualquier inconveniente causado.
5.8 Nuestro servicio está en constante evolución para mejorar la experiencia del usuario y añadir valor, por lo que ocasionalmente lanzaremos nuevas funcionalidades y mejoras. Para aquellos cambios que puedan afectar sustancialmente la funcionalidad o experiencia de usuario en general, nos comprometemos a informar a los usuarios. Estas notificaciones se realizarán a través de correo electrónico, notificación en la aplicación web o a través del asistente virtual, asegurando que nuestros usuarios estén siempre al tanto de las novedades más importantes y puedan aprovecharlas al máximo.
6. Propiedad Intelectual
6.1 Todos los derechos de propiedad intelectual e industrial relacionados con los servicios de software, incluyendo, entre otros, textos, imágenes, gráficos, código fuente, dibujos, diseños, estructura de navegación, bases de datos, marcas, nombres comerciales, logotipos, elementos distintivos, nombres de dominio y perfiles sociales, secretos comerciales, know-how, derechos de autor, derechos conexos, derechos sobre bases de datos, patentes, modelos de utilidad e industriales, y cualquier otro contenido, ya sea registrado o no, son de propiedad exclusiva de Fresh People o sus licenciantes. Las presentes condiciones de uso no otorgan ningún derecho de propiedad intelectual o industrial sobre los contenidos de los servicios de software. Queda prohibida la reproducción, transformación, distribución, comunicación pública, puesta a disposición, reutilización, reenvío o cualquier otro uso de dichos contenidos, por cualquier medio o procedimiento, salvo que esté permitido por la ley o haya sido expresamente autorizado por escrito por Fresh People o el titular de los derechos correspondientes.
6.2 Fresh People otorga al cliente y a los usuarios una licencia limitada, no exclusiva, intransferible y revocable para utilizar los servicios de software de acuerdo con estas condiciones y las condiciones particulares de contratación. Esta licencia no concede ningún derecho de sublicenciar, vender, distribuir, reproducir o crear obras derivadas del software. Asimismo, los usuarios no deben modificar ni reproducir total o parcialmente la información contenida en los servicios de software. En particular:
- Los usuarios no están autorizados a utilizar la información de los servicios de software con fines comerciales o profesionales distintos a beneficiarse de los servicios prestados por Fresh People.
- Los usuarios no están autorizados a eliminar, ignorar o manipular los derechos de autor u otros mecanismos de protección implementados por Fresh People.
- Los usuarios no están autorizados a desensamblar, descompilar o realizar ingeniería inversa sobre las bases de datos en las que se almacena la información de la plataforma.
6.3 El cliente conserva todos los derechos sobre los datos que introduzca o almacene en los servicios software. Fresh People no reclama ningún derecho de propiedad sobre dichos datos. Sin embargo, el cliente concede a Fresh People una licencia limitada para utilizar dichos datos en la medida necesaria para proporcionar los servicios software y cumplir con sus obligaciones bajo estas condiciones.
6.4 En caso de que el cliente o los usuarios infrinjan los derechos de propiedad intelectual de Fresh People, Fresh People se reserva el derecho de tomar las medidas legales apropiadas, incluidas, entre otras, la suspensión o terminación del acceso a los servicios software y la reclamación de daños y perjuicios.
6.5 Sujeto a los términos de este contrato, el cliente otorga a Fresh People una licencia de uso limitada, no exclusiva, intransferible, sublicenciable, irrevocable y para todo el territorio mundial, para usar las marcas del cliente con el fin de aparecer como cliente de Fresh People en eventos, congresos, ferias comerciales, en el sitio web de Fresh People y en materiales informativos y publicitarios, siempre y cuando no perjudique la reputación del cliente. A excepción de lo anteriormente mencionado, ninguna de las partes puede usar el nombre o logotipo de la otra parte sin consentimiento previo por escrito.
7. Privacidad y Protección de Datos
7.1 Datos del usuario y de Fresh People: En cumplimiento de lo dispuesto en el Reglamento (UE) de 27 de abril, General de Protección de Datos (RGPD) y la Ley Orgánica 3/2018 de 5 de diciembre de Protección de Datos Personales y Garantía de Derechos Digitales (LOPGDD), el usuario y Fresh People acuerdan que los datos personales de los empleados de los contratantes serán tratados para gestionar y ejecutar la relación contractual existente con los contratantes (el cliente). Asimismo, los datos se conservarán mientras se mantenga vigente dicha relación y, una vez finalizada, solo se conservarán para cumplir con las obligaciones legales, fiscales y administrativas pertinentes. La base legal para este tratamiento es la ejecución del acuerdo y hacer eficaz la relación contractual. Los datos no serán comunicados ni cedidos a terceros con excepción de aquellos que sean imprescindibles para la propia ejecución del acuerdo (proveedores de servicios necesarios) y para el cumplimiento de las obligaciones legales (administraciones públicas, auditoras, entidades financieras, compañías aseguradoras cuando proceda, entre otras). En el caso de proveedores de servicios necesarios, es posible que tengan su sede fuera de la UE y se produzca una transferencia internacional de datos. En dicho supuesto, las partes se comprometen a velar porque sus proveedores internacionales cuenten con las garantías adecuadas según la normativa aplicable. Las partes podrán solicitar el ejercicio de sus derechos de acceso, rectificación, supresión, oposición, limitación y portabilidad a través de la dirección facilitada al firmar estas condiciones o en la dirección electrónica proporcionada para la contratación, indicando claramente el derecho que desean ejercitar. Igualmente, las partes quedan mutuamente informadas de que tienen derecho a presentar una reclamación ante la Agencia Española de Protección de Datos (www.aepd.es). No obstante, las partes pondrán sus mejores medios y tratarán de resolver cualquier cuestión relativa a los datos personales de forma amistosa.
7.2 Datos incluidos por los usuarios en la plataforma de Fresh People: Data processing will be carried out by Fresh People with utmost diligence and confidentiality, applying security measures that guarantee said confidentiality, integrity, and availability.

8. Liability and Warranties
8.1 Fresh People will be liable for damages and losses suffered by the client due to non-compliance or defective compliance with these terms. However, this liability will not apply if the damages are caused by intentional actions, gross errors, or lack of care on the part of the client, or if events beyond Fresh People's control occur, such as:
a. ransomware or malware attacks on the client's systems;
b. security failures, data and system security violations or breaches suffered by the client;
c. misuse of devices and systems, especially if not performed in accordance with the manuals, guides, and other delivered documents;
d. failures in services provided by third-party technology providers on which Fresh People relies for the provision of its services.
e. inaccuracy of results generated by artificial intelligence incorporated into the use of our software, which does not accurately reflect people, places, or facts;
f. those outlined in sections (a) and (b) suffered by Fresh People.
8.2 Fresh People makes every effort to ensure the quality and availability of the service. However, the software services are provided «as is» and «as available». Fresh People does not guarantee that the software services will be available at all times, uninterrupted, and error-free. Nevertheless, Fresh People will take all appropriate measures to restore the normality and suitability of the service as soon as possible according to the processes mentioned in the “Incident Management and Service Maintenance” section of these terms.
8.3 Fresh People will not be liable for service failures or for damages or losses arising from interferences, omissions, interruptions, computer viruses, technical failures, or disconnections in the operation of the electronic system or user devices, when such situations are beyond Fresh People's control. This also includes delays or blockages caused by deficiencies or overloads in the Internet network or other electronic systems. Furthermore, Fresh People will not be liable if the service cannot be provided or access is not possible due to causes beyond its control, such as actions by users, third parties, or force majeure events. These force majeure causes include, but are not limited to, natural disasters, armed conflicts, acts of terrorism, civil unrest, telecommunications or Internet infrastructure failures, governmental actions, pandemics, or other circumstances beyond our reasonable control. Nevertheless, Fresh People assures that it has adopted and will continue to adopt all necessary measures, within its capabilities and according to available technological conditions, to ensure the proper functioning of the platform and prevent the presence and transmission of viruses or other harmful elements to users.
8.4 Fresh People will not be liable for any direct, indirect, incidental, consequential, or economic loss, or any other loss, regardless of its cause, arising from or in connection with the use of the software services. This includes, but is not limited to, any punitive, special, indirect, or consequential loss or damage, any loss of production, loss of profits, loss of revenue, loss of contract, loss or damage to goodwill or reputation, loss of goodwill, or any loss of opportunity or loss of claims.
8.5 Fresh People uses artificial intelligence technologies in some of its services. While all reasonable measures are taken to ensure the accuracy and reliability of these components, Fresh People does not guarantee that the results generated by artificial intelligence are accurate, complete, or error-free. The client and users acknowledge and accept that any use of artificial intelligence components is at their own risk. Fresh People will not be responsible for any decision or action taken based on the results provided by generative AI.
8.6 We reserve the right to suspend access to the service in case of non-payment, breach of these terms, or if the security or integrity of our services is compromised or threatened by customer actions, whether directly or indirectly. However, we will notify the reason for the suspension in advance whenever possible and provide a grace period to resolve the issue before the suspension takes effect. In any case, access to the service will be restored once the cause of the suspension has been satisfactorily resolved.
8.7 Fresh People does not guarantee or assume any responsibility for damages or losses suffered from accessing linked third-party websites. Fresh People will not be responsible for the results obtained through such linked websites or for the consequences arising from accessing them. Linked sites are provided by third parties, so Fresh People does not control the legality of their content or the quality of the services offered therein.
8.8 Fresh People does not generally control how users utilize the software services. In particular, Fresh People does not guarantee under any circumstances that users will use the software services in accordance with the Law, these terms of use, moral principles, accepted customs, and public order, nor that they will do so diligently and prudently. Consequently, Fresh People is not responsible for content, files, information, advertising, opinions, concepts, and images that are not dependent on the software services or that are generated, supplied, or managed by Users. Fresh People will not assume any responsibility, whether direct or indirect, arising from the misuse of the platform or its content by the User, who, in any case, assumes sole responsibility for the consequences, damages, or actions that may arise from their access or use, or from the hosted content, as well as its reproduction or communication.
9. Modification of terms and conditions
9.1 Fresh People reserves the right to modify these terms and conditions at any time and without prior notice. However, users will be informed of such changes via email or through a notification in the web application.
